Terms of Sales

Preamble

 

These general conditions of sale create a legal agreement and apply to all orders and all sales of services and products concluded between the customer and the service provider. 

The service provider reserves the right to modify these general conditions at any time. Each order is governed by the general conditions applicable on the date of the order.  

 

Article 1: object

 

Lucie Dufournel, legal representative of the company Parenthèse en Gently, offers services for perinatal support at clients' homes.

The fact of reserving a session is equivalent to placing an order by the customer and entails unreserved acceptance of these general sales conditions, except for special conditions granted by the service provider to the customer.

Any document other than these T&Cs and in particular prospectuses, advertisements, has only informative and indicative value, not contractual.

These general conditions of sale form an indivisible contractual document with the service contract signed by the customer.

Article 2 - Methods of execution

The Service Provider undertakes to carry out the mission entrusted to it by the Client in the best possible way, and in compliance with the regulations and legislation in force, as well as the applicable standards.

To do this, he will mobilize all the means necessary for the accomplishment of his mission, such as the constitution of a team or the use of adequate tools.

For his part, the Customer has the obligation to collaborate. Thus, he undertakes to provide in good time all the information that the Service Provider needs to carry out the assignment. Likewise, he will inform him as soon as possible of any decision affecting his mission. In some cases, it may provide the Service Provider with access to sensitive documents or places.

Be that as it may, the Service Provider is bound by an obligation of means and not of results.

Article 3 - Deadlines

The Service Provider undertakes to accomplish its mission according to a schedule established in advance with the Client. In the event of an impediment or significant delay, he must inform the Client as soon as possible.

Article 4 - Payment

The prices are displayed inclusive of all taxes and depend on the rates applicable on the date of the order. If they are subsequently to vary, any service fixed beforehand will keep the price applied when the order is taken.

Payment of a 10% deposit when booking

Payment of the balance, no later than the day of the meeting in cash or by bank transfer 48 hours before the day of the meeting.

Article 5 - Cancellation

In case of cancellation of the appointment, only one new date will be proposed in order to carry out the service. In case of cancellation of this new date, the deposit will not be refunded.

Article 6 - Penalties

In the event of absence or late payment, penalties of 12% per day will be payable by the Service Provider.

Article 7 - Confidentiality

The personal information collected when placing an order is intended exclusively to ensure customer management and in particular the follow-up of reservations with a view to the proper performance of the service ordered. 

The service provider undertakes not to communicate this information to third parties for any reason whatsoever.  

Article 8 - Ownership

 

As long as the mission is not fully paid by the Client, the work carried out remains the property of the Service Provider. Once full payment has been made, the Customer can enjoy it as he sees fit.

 

Article 9 - Force majeure

 

The liability of the Service Provider cannot be called into question if the non-execution or the delay in the execution of one of its obligations, described in these general conditions of sale, results from a case of force majeure. This means any external event, unforeseeable within the meaning of article 1148 of the Civil Code.

 

The Service Provider is not liable in particular in the event of fire, flooding, interruption of the supply of energy or ADSL, as well as total or partial strikes of any kind hindering the smooth running of the company, such as strikes in transport, postal services.

 

In the event of force majeure, the obligations of the GCS are suspended on both sides for thirty days.

 

Article 10 – Applicable law

 

The contractual relations between parties to which these general conditions apply are governed exclusively by French law.

Any dispute relating to the formation, execution or interpretation of these general conditions as well as any agreements to which they apply, will, in the absence of an amicable agreement, be subject to the exclusive jurisdiction of the French courts and more particularly the courts of Lyon.
